1. Acceptance of Terms

By creating an account, accessing, or using SharpSana, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. SharpSana is operated by Individual Entrepreneurship "Assylkhan.unicorn", registered in Kazakhstan (IIN/BIN: 060325550423). If you are using SharpSana on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

SharpSana is an AI-powered project management platform that integrates with your codebase to provide context-aware insights, planning, and code generation. The service allows users to:

• Index GitHub repositories for semantic search and understanding
• Generate implementation plans, tasks, and code suggestions
• Interact with AI chat assistants for project management and technical questions
• Manage project documentation, materials, and tasks
• Connect with IDEs via the Model Context Protocol (MCP)

We reserve the right to modify, suspend, or discontinue any aspect of our service at any time, with or without notice. We do not guarantee that our service will be available at all times or that it will be error-free.

3. User Accounts

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Maintain the security of your password and API keys
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Account Responsibility

• Upload, share, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
• Violate any applicable laws, regulations, or third-party rights
• Infringe upon intellectual property rights, including copyrights, trademarks, or patents
• Upload malicious software, viruses, or code designed to disrupt or damage our service
• Attempt to gain unauthorized access to our systems, accounts, or data
• Use automated systems (bots, scrapers) to access our service without permission
• Interfere with or disrupt the service or servers connected to the service
• Impersonate any person or entity or misrepresent your affiliation
• Reverse engineer the API or MCP server protocols

5. Intellectual Property Rights

5.1 Your Content

You retain ownership of all code, documentation, and project data you upload, create, or submit to SharpSana ("Your Content"). By using our service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, process, and display Your Content to provide our services
• Use Your Content to generate AI-powered insights, plans, and code suggestions
• Back up and maintain Your Content

You represent and warrant that you own or have the necessary rights to grant us this license for Your Content.

5.2 AI-Generated Content

Content generated by our AI services (plans, code snippets, summaries, chat responses) is provided "as is" and may not be accurate, complete, or suitable for all purposes. You are responsible for reviewing, testing, and verifying AI-generated content before using it in production. We do not guarantee the accuracy, completeness, or reliability of AI-generated content.

5.3 SharpSana Intellectual Property

The SharpSana service, including its design, features, functionality, and underlying technology, is owned by SharpSana and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our service without our express written permission.

6. Payments and Subscriptions

6.1 Subscription Plans

SharpSana offers various subscription plans, including a Free Tier and a Pro Tier. Specific features and limits for each plan are detailed on our pricing page. Subscription fees are billed in advance on a monthly basis.

6.2 Payment Processing

Payments are processed securely through our third-party payment provider (e.g., Stripe). You agree to provide accurate and complete payment information. By providing payment information, you authorize us to charge your payment method for all subscription fees.

6.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

6.4 Refunds

Refunds may be available under specific conditions at our sole discretion. To request a refund, please contact us. Refund requests generally must be submitted within 14 days of purchase.

6.5 Failed Payments

If payment fails, we may suspend or terminate your subscription. You are responsible for ensuring your payment method is valid and up to date.

We reserve the right to modify, suspend, or discontinue any aspect of our service at any time. We are not liable for any loss or damage resulting from service interruptions or modifications.

• SharpSana is provided "as is" and "as available" without warranties of any kind, either express or implied
• We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for any loss of data, profits, or business opportunities, including loss of code or project data
• We are not liable for the accuracy, completeness, or reliability of AI-generated content
• Our total liability for any claims shall not exceed the amount you paid us in the 12 months preceding the claim

9. Indemnification

You agree to indemnify, defend, and hold harmless SharpSana, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to:

• Your use of our service
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or any content you submit through our service
• Your use of AI-generated content in production systems

10. Termination

You may terminate your account at any time. We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in illegal activities, or fail to pay subscription fees. Upon termination, your right to use the service will immediately cease.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions. Any disputes will be resolved exclusively in the courts of Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page or sending an email. Your continued use of SharpSana after changes become effective constitutes your acceptance of the modified Terms.
