Terms of Service

1. Acceptance of Terms
By creating an account, accessing, or using SharpSana, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. SharpSana is operated by Individual Entrepreneurship "Assylkhan.unicorn", registered in Kazakhstan (IIN/BIN: 060325550423) ("SharpSana," "we," "our," or "us"). If you are using SharpSana on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
SharpSana is an AI coworker for startups. It connects to the tools your team already uses, forms persistent memory across messages, events, and decisions, answers questions grounded in your real data, and acts back into your tools. The Service includes, without limitation:
- The SharpSana web application and dashboard
- Slack and Telegram bots that operate in your workspaces and chats
- Model Context Protocol (MCP) servers for use in IDEs and developer tools
- OAuth-based integrations with third-party tools (including GitHub, Linear, Jira, ClickUp, Trello, Slack, Telegram, Notion, Google Drive, Gmail, Google Calendar, PostHog, and others)
- AI-generated chat, insights, plans, roadmaps, tasks, drafts, code suggestions, and recaps
- Write-back actions into connected tools when you instruct the Service to act
- Indexing and storage of materials, documents, interviews, and other content you upload
- APIs and developer tooling
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We do not guarantee that the Service will be available at all times or that it will be error-free.
3. User Accounts
3.1 Account Creation
To access most features, you must create an account, typically by signing in with a supported OAuth provider (such as GitHub or Google). You agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information
- Maintain the security of your credentials and API keys
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
3.2 Account Responsibility
You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree not to share your account or allow unauthorized access. We are not liable for any loss or damage arising from your failure to protect your account.
3.3 Workspaces & Team Members
If you invite teammates or operate a workspace on behalf of an organization, you are responsible for ensuring that each user agrees to these Terms, that you have authority to connect the workspace's tools, and that you have obtained any required consents (for example, from teammates whose Slack messages or emails may be ingested).
4. Connected Tools & Integrations
When you connect a third-party tool to SharpSana, you authorize us to access, ingest, store, and process data from that tool under the scopes you grant. Integrations are read-only by default; write scopes are requested only when needed for actions you initiate (such as drafting an email, posting a Slack message, or filing a ticket).
- You represent that you have the right and any necessary authority to connect each tool and grant SharpSana access to the data behind it.
- You can disconnect any integration at any time from your dashboard, which revokes our ongoing access.
- Your use of each third-party tool remains governed by that provider's own terms and policies, and we are not responsible for their availability or behavior.
- SharpSana will only execute write-back actions when initiated by you or by a workflow you have configured. You are responsible for reviewing the side effects of any action you approve.
5. Acceptable Use Policy
You agree to use SharpSana only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Upload, share, or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
- Violate any applicable laws, regulations, or third-party rights
- Infringe upon intellectual property rights, including copyrights, trademarks, or patents
- Upload malicious software, viruses, or code designed to disrupt or damage the Service or any connected system
- Use the Service to send spam, unsolicited messages, or harassing communications through connected tools (e.g., Gmail, Slack, Telegram)
- Attempt to gain unauthorized access to our systems, accounts, or data
- Use automated systems (bots, scrapers) to access the Service outside of officially supported APIs
- Interfere with or disrupt the Service or the servers and networks supporting it
- Impersonate any person or entity, or misrepresent your affiliation
- Reverse engineer, decompile, or attempt to extract source code from the Service, its APIs, or MCP servers, except as permitted by law
- Use the Service to build a competing product or train a competing AI model
- Use the Service to process data you are not legally permitted to process, including data subject to restrictions you have agreed to with third parties
6. Intellectual Property Rights
6.1 Your Content
You retain ownership of all code, documents, materials, interview content, messages, and other data you upload, create, or connect through the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to store, process, index, embed, transmit, and display Your Content as necessary to:
- Provide and operate the Service
- Generate AI-powered chat, insights, plans, drafts, and other outputs at your request
- Perform write-back actions you initiate in connected tools
- Back up, secure, and maintain Your Content
- Improve the Service in aggregated, de-identified form
You represent and warrant that you own or have the necessary rights to grant this license, and that Your Content does not violate any law or third-party right.
6.2 AI-Generated Content
Content generated by the Service (plans, code, summaries, chat responses, drafts, recaps, and similar outputs) is provided "as is" and may not be accurate, complete, or suitable for any particular purpose. You are responsible for reviewing, testing, and verifying AI-generated content before relying on it, sending it, committing it, or putting it into production. We do not guarantee the accuracy, completeness, or reliability of AI-generated content.
6.3 Training
We do not use Your Content to train public foundation models. We may use aggregated, de-identified usage data to improve the Service.
6.4 SharpSana Intellectual Property
The SharpSana service, including its design, features, functionality, prompts, workflows, and underlying technology, is owned by SharpSana and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.
6.5 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.
7. Payments and Subscriptions
7.1 Plans & Credits
SharpSana offers a Free Tier and paid plans. Some features are usage-based and consume credits or other usage units. Specific features, limits, and pricing for each plan are detailed on our pricing page and may change from time to time.
7.2 Payment Processing
Payments and subscriptions are processed by our third-party payment provider, Polar. You agree to provide accurate billing information and authorize the processor to charge your payment method for all fees, taxes, and applicable charges. We do not store full payment card numbers.
7.3 Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel at any time through your account settings or the customer portal. Cancellation takes effect at the end of the current billing period.
7.4 Refunds
Refunds may be available under specific conditions at our sole discretion. To request a refund, please contact us. Requests generally must be submitted within 14 days of purchase. Credits and one-time charges are non-refundable once consumed.
7.5 Failed Payments
If a payment fails, we may suspend or terminate your subscription, downgrade your account, or restrict access to paid features. You are responsible for keeping your payment method valid and up to date.
7.6 Taxes
Fees are exclusive of any applicable taxes, levies, or duties, which are your responsibility unless we are required by law to collect them on your behalf.
8. Service Availability and Modifications
We strive to provide reliable service but do not guarantee that the Service will be available at all times or without interruption. The Service relies on third-party providers (including cloud hosting, LLM providers, and integration partners) whose availability is outside our control. We reserve the right to modify, suspend, or discontinue any feature, integration, model, or aspect of the Service at any time. We are not liable for any loss or damage resulting from service interruptions or modifications.
9. Beta Features
We may make experimental, preview, or beta features available from time to time. Beta features are provided "as is," may be unstable or change without notice, and may be removed at any time. Use them at your own risk and do not rely on them for production-critical workflows.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, either express or implied
- We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement
- We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages
- We are not liable for any loss of data, profits, revenue, goodwill, or business opportunities, including loss of code, project data, or content sent or modified in connected tools
- We are not liable for the accuracy, completeness, or reliability of AI-generated content or for actions taken by the Service in connected tools at your direction
- We are not liable for actions, errors, or outages of third-party services on which the Service depends (including LLM providers, integration providers, and payment processors)
- Our total aggregate liability for any claims arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) US$100
11. Indemnification
You agree to indemnify, defend, and hold harmless SharpSana and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any law or any third-party right
- Your Content or any data you connect or submit through the Service
- Your use of AI-generated content in production systems or external communications
- Actions executed in connected tools at your direction
12. Termination
You may terminate your account at any time from your dashboard. We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in illegal activities, abuse the Service, or fail to pay subscription fees. Upon termination, your right to use the Service immediately ceases, and we may delete your account data subject to any retention required by law. Provisions that by their nature should survive termination (including ownership, disclaimers, limitations of liability, indemnification, and governing law) will survive.
13. Governing Law & Disputes
These Terms are governed by the laws of the Republic of Kazakhstan, without regard to its conflict-of-laws rules. Any disputes arising out of or relating to the Service or these Terms shall be resolved exclusively in the competent courts of the Republic of Kazakhstan, unless a mandatory consumer-protection law of your country of residence provides otherwise.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, by email or in-product notice. Your continued use of SharpSana after changes become effective constitutes your acceptance of the modified Terms.
